OYO Workspaces Membership & Hot Desk Terms and Conditions

  1. The terms and conditions contained herein (“T&Cs”) govern the usage of OYO Workspaces by you. By accepting theses T&Cs, you agree to comply with and be bound by the same. These T&Cs constitute a legally binding agreement (“Agreement”) between you and the OYO Workspaces entity providing services to you.   1. We reserve the right to modify these T&Cs at any time in the manner provided in this Agreement. If we make changes to these T&Cs, we will post the revised T&Cs on our website. We will also provide you with notice of the modifications by email and the date from when they will become effective. If you disagree with the revised T&Cs, you may terminate this Agreement with immediate effect by way of an email to us. If you do not terminate your Agreement before the date the revised T&Cs become effective, your continued access to or use of OYO Workspaces will constitute acceptance of the revised T&Cs.

  1. When you chose to avail our hot desk membership, we will allocate a specified space to you for access and use by you of the premises at OYO Workspaces (“OYO Premises”). You can access the OYO Premises within the business hours and business days specific to the OYO Premises.

  1. All bookings are subject to availability in the applicable OYO Premises and we do not guarantee you a desk of your choice.

  1. Any service what we may provide to you will be on as is basis and we not warrant the availability, fitness or merchantability of the same
  1. Nothing contained in this Agreement grants you any rights or interests of any nature whatsoever in our business and/ or in the premises
  1. OYO Premises are usually open for use and business on all weekdays, except certain government holidays, but may vary depending upon the place and location of the premises. You are also requested to contact the helpdesk of the OYO Premises for the list of holidays and working hours applicable to the premises or you can write to us for the same at contactus@oyo-workspaces.com.

  1. You are mandatorily required to provide your identification documents for gaining access to OYO Premises. In case we are required to disclose or share your information with any government authority, we may do so with or without notice to you and you agree that you will have no objection to the same.

  1. Your access card can be used only by you and is non-transferable. In case you misplace or damage your access card, a new card will be issued by us to you only upon payment of an additional fee.

  1. At all OYO Premises, there are different sets of rules that we expect all our members to comply with. These rules are aimed at ensuring that all the occupants of OYO Premises can enjoy the OYO Workspace experience as much as the others. These rules are available at all OYO Premises and you are expected to abide by the same. As these rules may be differing for each OYO Premises, you are advised to request the helpdesk at the OYO Premises for a copy of the same. All such rules that are applicable for the OYO Premises that you use will stand necessarily incorporated in this Agreement.

  1. You are expected to take care of your belongings in the OYO Premises and we will not be responsible for safeguarding the same. You also agree not to (i) use the OYO Premises or any part thereof for any illegal, immoral or nefarious activity; (ii) create any nuisance or cause any disturbance to the other co-occupants of the OYO Premises; or (iii) bring in any hazardous or explosive material or any material that is prohibited by law in the OYO Premises.

  1. In the event any harm or damage is caused to any person or property within the OYO Premises by you or your guests, you shall be solely and fully liable for the same. You shall bear and pay the cost for repair of any damage or loss caused immediately upon a demand by us or the person who has suffered the loss.

  1. You are expected to not interfere in the space of the other co-occupants or copy and/or misuse any information that belongs to us or to the other occupants of the OYO premises, irrespective of whether the information has been marked as proprietary.

  1. You agree to not use the name “OYO, PowerStation, WorkFlo, Innov8” and any names, trademark or logos associated with the same without our prior written consent.

  1. If you chose access to internet provided by us, you understand that we will not be liable to guarantee the security of the internet or of any information that you may transmit over internet. You will be required to take your own security measures as you may feel are appropriate.

  1. If you elect to purchase products and/or services offered by other parties at OYO Premises, it would be pursuant to separate arrangements between you and the relevant party and entirely at your discretion, and we shall not be liable for any such products purchased or services availed by you at OYO Premises.

  1. In the event of the breach of the T&Cs by you and/or your representatives, we shall have the right to restrict your access to the OYO Premises and/or terminate your membership and this Agreement with or without notice to you. In the event you wish to opt out of any services or cancel your membership, you can write to us for the same at contactus@oyo-workspaces.com. Any cancellation or termination of this Agreement shall not relieve you from any payments that were due to us immediately prior to such cancelation or termination.

  1. We take no responsibility for the acts and omissions of other users of the OYO Premises and if a dispute arises between members or their invitees, guests, we shall have no responsibility or obligation to participate, mediate or indemnify any party.

  1. You agree to indemnify and keep OYO, its affiliates, employees and representatives (“OYO Indemnified Parties”) and hold harmless the OYO Indemnified Parties from and against any and all liabilities, claims, actions, and losses caused from the breach of the terms of this Agreement by you, your representatives and your guests. You recognize that the indemnities provided under this Agreement shall be in addition to and not in lieu of any other remedy available to OYO Indemnified Party under this Agreement or by law.

  1. OYO’s liability except for those liability/losses/damages specifically provided/agreed elsewhere in this Agreement shall not exceed the total amount of fee paid by you to us for the past 10 (ten) months immediately preceding the date of the claim. In no event shall OYO be liable for incidental, special, indirect or consequential damages (including loss of profits) or costs of procurement of substitute goods or services, however caused and under any theory of liability, including but not limited to contract or tort (including products liability, strict liability and negligence), and whether or not you were or should have been aware or advised of the possibility of such damage and notwithstanding the failure of essential purpose of any limited remedy stated herein. In addition to the above, you waive any rights or claims that you, your representatives or visitors may have against us in relation to or arising out of any loss or injury that the Users may suffer or incur to their person or property at the OYO Premises.

  1. Any dispute or claim arising out of or in relation to this Agreement that cannot be settled amicably by the parties hereunder shall be referred to arbitration to be conducted in accordance with the Arbitration and Conciliation Act 1996 by an arbitrator mutually appointed by the parties. The seat of arbitration shall be New Delhi, India. The arbitration award shall be final and binding on the parties. Subject to clause, this Agreement and the transactions contemplated hereby shall be governed by and construed under the law of India and the courts of Delhi shall have the exclusive jurisdiction to entertain any disputes arising from or in connection with this Agreement for the purposes of obtaining interim relief including but not limited to temporary injunctions.

  1. Any failure, delay or forbearance on our part in: (i) exercising any right, power or privilege under this Agreement; or (ii) enforcing terms of this Agreement, shall not operate as a waiver thereof, nor shall any single or partial exercise by us of any right, power or privilege preclude any other future exercise or enforcement thereof.

  1. The parties hereto agree that each of the provisions contained in this Agreement shall be severable, and the unenforceability of one or more provisions of this Agreement shall not affect the enforceability of any other provision(s) or of the remainder of this Agreement.

  1. Hot desk/Dedicated desk Membership is non- transferable and cannot be converted to flexi pass Membership, by whatever name called.

ADDITIONAL TERM AND CONDITIONS FOR FLEXI PASS PROGRAM-2019

  1. The Flexi Pass gives you access to centres of OYO Workspaces across India in terms hereof & subject to exclusions.

  1. You can access & use various centres of OYO Workspaces in one day, subject to availability.

  1. The access shall be limited to use of the space [not-dedicated] wherein you shall be seated in a common area/terrace/dedicated desk area subject to availability upon confirmation and at the discretion of centre managers for the centres of OYO Workspaces.

  1. Maximum two Flexi Pass will be issued per entity. Such entity will have to maintain individual profile for each Flexi Pass. However, the entity can transfer Flexi Pass amongst its employees by furnishing requisite KYC documents. It is made clear that the Flexi Pass shall not be transferable in if issued to an individual/sole proprietorship.

  1. Flexi Pass shall be issued either for monthly or quarterly access. The monthly Flexi Pass can be renewed for 2 consecutive terms for a month each, whereas the quarterly Flexi Pass shall not be further renewed. No renewal post September, 2019 shall be acknowledged & accepted.

  1. Unless otherwise specified herein, all terms/conditions & pricing for value added services applicable for members shall apply on access and use of under Flexi Pass.
